Why Form a Company??

The answer to that is pretty simple ... Seriousness. Everything that has been done up to this point has been done with the eye to Good Business
Practices. Now that money is starting to flow in, it only makes sense to form an official entity to handle things. |

Non-Profit or Not-For-Profit?

Originally it set that the domains would file for Non-Profit status. Upon investigation it was found that Non-Profit can be considered
Anti-Competitive and would liken the chances of a For-Profit Company/Corporation sueing for Anti-Competive Business Practices. This would not be good.Futher it was found that not only are there a lot of hurdles
that have to be jumped just to get the Non-Profit Status, but also continuing Hoops that have to be gone though to keep it. So the decision was to scratch the Non-Profit idea and to run in a For-Profit environment
but to have the entity operate in a manner as to never show a profit. Which is completely different then actually having a Non-Profit Status from the Federal Government. |

Company vs Corporation??

Once the Non-Profit issue was thrown out the window, the question of "Why Incorporate at all" was raised. Generally people incorporate their
companies for protection as well as to avoid the 15% self employment tax. What they pay is yearly Corporate Taxes to the State as well as paywork and other things that have to be done to maintain the "Corporate
Presence"The protection in a situation such as this is very thin and probably easily breached, and the self-employment tax is practially a non-issue in this case. In the final analysis, it did not make sense to
incorporate at this stage of the game. A Sole Prorietarship was created called DC Hero & Co. on the 25th day of October in the year 1999. |
